REGULATIONS FOR THE MANAGEMENT OF TRANSACTIONS WITH PARTIES IN CONFLICT OF INTEREST

On 5 December 2023, the Board of Directors of Kruso Kapital S.p.A., with the favourable opinion of the Independent Director, approved the “Regulations for the Management of Transactions with Parties in Conflict of Interest” (the “Regulations”) through a resolution subject to the admission to trading of the shares of Kruso Kapital S.p.A. on the Euronext Growth Milan (EGM) market organised and managed by Borsa Italiana S.p.A., with effect from the first trading day of such shares.

It should be noted that Kruso Kapital does not qualify as a “company with shares widely held by the public” pursuant to Article 2-bis of the Regulation adopted by CONSOB Resolution No. 11971/1999. The Board of Statutory Auditors of Kruso Kapital monitors the compliance of the adopted Regulations with the principles set out in the CONSOB Regulation, as well as their observance, and reports thereon to the shareholders’ meeting of Kruso Kapital.
